Subscription Terms for Clinics, Labs & Hospitals

Applies to organisations that subscribe to ConnectAI. Last updated 11 August 2026.

ConnectAI is software for healthcare businesses. These terms are between ZODIX HEALTH Pvt. Ltd. ("ConnectAI", "we") and the clinic, diagnostic laboratory, hospital, dental practice or other organisation that subscribes ("you"). We are not a healthcare provider and we do not practise medicine — see section 6. If you are a patient, section 15 applies to you.

These terms govern your subscription. Our general website Terms & Conditions continue to apply to general use of connectai.care.

1. These terms, and what else forms your contract

By creating an account, paying an invoice or payment link, or using ConnectAI, you agree to these terms on behalf of your organisation and confirm you are authorised to do so.

Your contract with us is made up of, in order of precedence:

  1. any agreement, proposal or statement of work signed between us;
  2. your order confirmation, payment link or invoice — which records your plan, price, term and minimum commitment;
  3. these terms, the Refund Policy and the Clinic, Lab & Hospital Privacy Notice.

2. What ConnectAI provides

ConnectAI is a subscription software platform for healthcare businesses. Depending on the plan you buy, it may include clinic management and CRM, patient records, appointments and billing, a clinic website or portal, WhatsApp automation, an AI voice receptionist, Google Business Profile and review tools, social media and advertising management, and lab or pharmacy modules.

You get access only to the modules on your plan. We may add, change or retire features to improve the product; where a change removes functionality you are actively relying on, we will tell you in advance. Onboarding is delivered remotely, typically over WhatsApp, within the timeline stated for your plan.

3. Your account and your staff

  • Give accurate registration details and keep them current, including your billing contact and the mobile number and email on the account.
  • You are responsible for everything done under your account. Keep credentials confidential, give each staff member their own login, and revoke access promptly when someone leaves.
  • You are responsible for the access levels you grant inside your account. If you give a staff member visibility of patient records, that is your decision.
  • Tell us immediately if you suspect unauthorised access.

4. Fees, payment and term

  • Fees, billing frequency and any minimum commitment are those recorded in your order. Most subscriptions run for a minimum of 3 months and are cancellable with 30 days notice after that; annual plans run for the full year in exchange for the discount. A one-time onboarding fee applies to new clinics.
  • Prices are in Indian Rupees and exclusive of GST and other taxes, which are charged as applicable.
  • Payment is due in advance of the period it covers. If payment fails or is not made, we may suspend the service after giving you notice, and restore it once the account is settled.
  • We may revise prices for a renewal term with at least 30 days notice before it starts. Your price will not change inside a term you have already paid for.
  • Credits included with a plan are for use with ConnectAI features. They have no cash value, are not transferable, roll over while your subscription stays active, and lapse when it ends.
  • Refunds are governed by the Refund Policy.

5. Your regulatory and professional obligations

ConnectAI is a tool. Operating your practice lawfully remains yours. You confirm that you and your staff hold the registrations, qualifications and licences required for the services you provide, and that you will comply with the laws that apply to you — including clinical establishment registration, telemedicine practice guidelines, professional council rules, and any pharmacy or diagnostic laboratory regulations relevant to those modules.

You are also responsible for the notices and consents your patients need, including consent to be messaged on WhatsApp, to receive marketing, and to have calls recorded and transcribed by the AI receptionist. See the Clinic, Lab & Hospital Privacy Notice.

6. No medical advice — AI is assistance, not a clinician

  • We are a software company. We do not provide medical services, we do not diagnose or treat, and nothing the platform outputs is medical advice.
  • AI features draft replies, summarise conversations, transcribe calls, generate content and suggest actions. These outputs can be incomplete or wrong. They are drafts for your team to review.
  • A qualified clinician remains responsible for every clinical decision, prescription, report and communication issued in your name — including those a bot sent on your behalf after you configured and enabled it.
  • Do not configure automation to make clinical decisions, triage emergencies, or send clinical instructions without human review. The platform is not designed or certified for emergency use.
  • Where you enable automated messages, you are the sender in the eyes of your patients and of the law.

7. Acceptable use

You will not use ConnectAI to:

  • send unsolicited bulk messages, or message people who have not consented or who have opted out;
  • publish content that is false, misleading, or in breach of medical advertising rules — including guaranteed-cure claims, or content prohibited under the Drugs and Magic Remedies (Objectionable Advertisements) Act;
  • solicit, publish or exchange fake reviews, or manipulate a Google Business Profile in breach of Google's policies;
  • upload data you have no right to process, or another clinic's patient list;
  • resell, sublicense, white-label or provide the platform as a service to third parties, unless we have signed a reseller or partner agreement with you;
  • copy, reverse-engineer, scrape or benchmark the platform for a competing product, or circumvent usage limits, credit metering or access controls;
  • interfere with the platform's operation or security, or use it to distribute malware.

Serious or repeated breach lets us suspend the affected feature or the account. Where the risk allows, we will warn you first and give you a chance to fix it; where it does not — an active security threat, or conduct that puts our WhatsApp or Google access at risk for other customers — we may act immediately and tell you why.

8. Third-party platforms we depend on

Parts of ConnectAI only work because Meta, Google, our telephony providers and our AI providers allow them to. Those platforms set their own rules and change them without consulting us.

  • WhatsApp messaging is subject to Meta's policies, template approval, and per-conversation charges. A number can be rate-limited, restricted or banned by Meta for content or complaints. We will help you appeal, but we cannot overturn their decision or guarantee reinstatement.
  • Google Business Profile, review and advertising features are subject to Google's policies, including suspension of a listing or ad account.
  • Where you run advertising through us, ad spend is paid to the ad platform on your behalf. Platform-side rejections, account restrictions and delivery outcomes are theirs, not ours.
  • We are not liable for a third-party platform's outage, policy change, price change, or decision affecting your account — but we will tell you what we know and work with you on the alternative.

9. Data, content and intellectual property

  • Your data stays yours. Patient records, message history, call recordings and transcripts, and the content you upload belong to you. You grant us the licence needed to host and process them to deliver the service, and to comply with law.
  • Content generated for you — website copy, social posts, review replies, ad creatives produced through the platform for your clinic — is yours to use. You are responsible for checking it is accurate and compliant before it goes out.
  • The platform stays ours. ConnectAI software, website and portal templates, bot designs, prompts, documentation, brands and bot names remain the property of ZODIX HEALTH Pvt. Ltd. You get a non-exclusive, non-transferable right to use them while your subscription is active, and nothing more.
  • Feedback. If you suggest an improvement, we may build it without owing you anything, and it belongs to us.
  • Aggregated statistics. We may use aggregated, de-identified data that cannot be linked to you or any individual to improve and describe the product.
  • Using your name. We will not use your clinic's name, logo or results as a case study or testimonial without your written permission.

10. Availability and support

We aim to keep ConnectAI available continuously, but we do not promise uninterrupted service unless a signed agreement gives you a specific service level. Planned maintenance is scheduled for low-usage hours where we can, and notified where it will be disruptive.

Support is provided over WhatsApp and email during business hours, at the level included in your plan. Keep a means of serving patients if the platform is briefly unavailable — do not make it your only path to reaching them in an emergency.

11. Free tools, trials and beta features

Calculators, audits, generators and other free tools on our website, and anything we label trial, pilot or beta, are provided as-is with no warranty and no service commitment. Their output is indicative, not professional advice, and we may change or withdraw them at any time.

12. Term, suspension and termination

  • Your subscription runs for the term in your order and continues until either of us ends it in line with these terms.
  • You may cancel by giving the notice your plan requires. Fees for the committed term remain payable as set out in the Refund Policy.
  • We may terminate for material breach you have not fixed within 15 days of written notice, for non-payment, or immediately for conduct that is unlawful or that endangers the platform or other customers.
  • On termination, access ends. Export your data before then — you can do so at any time, or ask us. Deletion follows the Clinic, Lab & Hospital Privacy Notice. Where law requires you to retain medical records, that obligation is yours.
  • Provisions that are meant to outlive the contract — fees owed, confidentiality, intellectual property, liability, governing law — survive it.

13. Warranties and disclaimers

We will provide the service with reasonable skill and care. Beyond that, and to the extent the law allows, the platform is provided as-is. In particular we do not warrant that:

  • you will achieve any specific number of patients, enquiries, calls, bookings, reviews or search rankings — marketing outcomes depend on your market, pricing, reputation and follow-up, not on software alone;
  • AI output will be accurate, complete or suitable for a given purpose;
  • the service will be error-free, or uninterrupted where a third-party platform is involved.

14. Liability

Neither of us is liable to the other for indirect, incidental, special or consequential loss, or for loss of profit, revenue, goodwill, anticipated savings or data, however caused.

Our total liability arising out of or in connection with your use of ConnectAI is limited to the fees you paid us in the 3 months immediately before the event giving rise to the claim.

Nothing in these terms limits liability that cannot lawfully be limited, including for fraud, or for death or personal injury caused by negligence. Because you remain responsible for clinical decisions and for your own regulatory compliance, we are not liable for loss arising from a clinical decision, a communication sent from your account, or content you published.

15. Patients using ConnectAI

If you are a patient using a clinic's ConnectAI-powered website, portal or WhatsApp number, your care relationship — and any fee you pay — is with that clinic, not with us. Your data is handled under the clinic's instructions; see the Patient Privacy Policy. For appointments, medical questions, records or refunds, contact the clinic directly. Never use ConnectAI to seek help in a medical emergency — call emergency services.

16. Governing law and disputes

These terms are governed by the laws of India. Before starting formal proceedings, both of us will try in good faith to resolve the dispute by discussion, starting with a written notice to the other side. Failing that, the courts at Gautam Buddh Nagar, Uttar Pradesh have exclusive jurisdiction.

17. General

  • Changes. We may update these terms. Material changes will be notified to the email on your account at least 15 days before they take effect; continuing to use the service after that means you accept them. The version applying to a purchase is the one published when you paid.
  • Assignment. You may not assign this contract without our consent. We may assign it as part of a merger, reorganisation or sale of the business.
  • Force majeure. Neither of us is in breach for a delay caused by something genuinely outside our control.
  • Severability. If a provision is unenforceable, the rest stands.
  • No partnership. Nothing here creates a partnership, joint venture, agency or employment relationship between us.
